1. Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("you" or "the user") and 5Bloc Inc. ("5BLOC", "we", "our", or "us"). By creating an account, ticking the acceptance box during sign-up or onboarding, or otherwise accessing or using the 5BLOC platform ("the Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

If you are accepting these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

5BLOC is a construction project management and coordination platform designed for architects, engineers, contractors, consultants, and construction professionals. The Platform provides tools for project coordination, document and drawing management, RFIs, submittals, transmittals, issue and site tracking, invoicing, a professional marketplace, AI-assisted drafting and estimation, and integrations with third-party services including Google Workspace and Autodesk products.

3. Eligibility & Account Registration

• You must be at least 18 years old and capable of forming a binding contract.
• You must provide accurate, current, and complete information when creating your profile.
• You are responsible for keeping your account credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at contact@5bloc.com of any unauthorised use of your account.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, fraudulent, or infringing purpose;
• Upload malicious code, viruses, or harmful content;
• Attempt to gain unauthorised access to the Platform or to other users' data;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Use the Platform to spam, harass, defame, or harm others;
• Scrape, resell, or misrepresent listings, profiles, or other users' content.

5. Your Content & Ownership

You retain all ownership of the project data, documents, drawings, and other content you upload ("User Content"). You grant 5BLOC a limited, non-exclusive licence to host, store, process, transmit, and display your User Content solely to operate and improve the Platform and to provide the features you use (for example, sharing a document with a collaborator you invite). We do not claim ownership of your User Content and we do not use it to train third-party public AI models.

6. Data Collection, Analytics & Product Improvement

To run and improve the Platform, we collect account information, the content you create, and product-usage data (such as which features are used, performance metrics, device and log data, and error diagnostics). We use this information to operate the service, keep it secure, analyse how it is used, and improve and develop features. Wherever practical, analytics are performed on aggregated or de-identified data.

We will never sell, rent, or trade your personal data, and we will not use it for third-party advertising. We share data only with the trusted infrastructure providers needed to run the Platform (for example, hosting, database, email, and file storage), under contracts that require them to protect it. Full details, including your rights and how to opt out where applicable, are set out in our Privacy Policy.

7. Data Security & Storage

We store your data securely and apply industry-standard safeguards, including encryption in transit, encrypted credentials and OAuth tokens, row-level security policies that restrict each account to its own data, and access controls that limit internal access to what is necessary to operate the service. No system is perfectly secure, but we work continuously to protect your information and will notify affected users of any material data breach as required by law.

8. AI-Assisted Features

Some features use automated or AI assistance (for example, drafting RFI responses, generating estimates, or summarising documents). AI output may be inaccurate or incomplete and is provided to assist — not replace — your professional judgement. You are responsible for reviewing and validating any AI-generated output before relying on or acting upon it. Construction, design, and financial decisions remain the sole responsibility of the professional making them.

9. Third-Party Integrations

The Platform lets you connect third-party services (such as Google Drive, Gmail, Google Calendar, and Autodesk). By connecting these services you authorise 5BLOC to access the data you explicitly permit, as described in our Privacy Policy. You can disconnect an integration at any time from the Integrations page, which removes the associated tokens. 5BLOC is not responsible for the availability, accuracy, or content of third-party services, and their use is governed by their own terms.

10. Intellectual Property

The Platform and its original content, features, and functionality — excluding User Content — are owned by 5Bloc Inc. and are protected by applicable intellectual property laws. You may not copy, modify, or create derivative works of the Platform except as expressly permitted.

11. Payments & Billing

Certain features may require a paid subscription. Fees, billing cycles, and any applicable taxes will be disclosed before you purchase. Payments are processed securely through our payment provider; we do not store full card details. Unless required by law or stated otherwise, fees are non-refundable. We may change pricing with at least 30 days' notice for existing subscribers.

12. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Construction and design decisions made using data from the Platform remain the sole responsibility of the professional making them.

13. Limitation of Liability

To the maximum extent permitted by law, 5Bloc Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Platform. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Platform in the twelve months preceding the claim.

14. Termination & Data Deletion

You may stop using the Platform and request deletion of your account and associated data at any time by contacting contact@5bloc.com. We may suspend or terminate your account for violation of these Terms. On termination, we will delete or de-identify your personal data within a reasonable period, except where retention is required by law.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes — including to how we use your data — we will notify you by email or through the Platform and, where appropriate, ask you to re-accept. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
